1. Purpose of Agreement
Client engages Consultant to provide business consulting services through the Power Shift Protocol™, a proprietary 90-day program designed to help women business owners scale beyond revenue ceilings, achieve consistent $100K+ months, and step into CEO-level leadership with clarity and confidence.
Consultant agrees to provide services as detailed in Section 2, according to the terms of this Agreement.
2. Consulting Package Details (Scope of Work)
The Power Shift Protocol™ includes:
1:1 Onboarding Call + Revenue Psychology Reset™
Weekly private consulting sessions (Zoom) for 90 days
Full access to proprietary frameworks:
Revenue Psychology Reset™
Scalable Success Stack
Authority Shift™
Cashflow Expansion Plan
Legacy Growth Blueprint™
Voxer access for real-time support
KPI Dashboard setup and 30/60/90-day tracking
Services begin on the Effective Date and run for 90 days.
3. Terms of Payment
The total investment for The Power Shift Protocol™ is $22,000 USD.
Client may choose one of the following payment options:
Option 1: Pay-in-Full: $22,000 due upon execution of this Agreement.
Option 2: Payment Plan: $7,500 per month for 3 consecutive months (total $22,500).
Payments are due by the same calendar date each month.
Late Payment
All payments received after the due date will incur a late payment charge from such due date until paid at a rate equal to the lesser of 1.5% per month or the maximum rate permitted under applicable law. Client shall reimburse Consultant for any expenses incurred, including interest and reasonable attorney fees, in collecting amounts due Consultant hereunder. If payment is late, Consultant reserves the right to withhold further services until payment is received and terminate this Agreement for Client’s breach of contract.
All payments are non-refundable, with the exception of Consultant failing to deliver services as outlined in Section 2.
4. Guarantee
Consultant offers a performance-based guarantee: If Client fully participates, implements the agreed-upon strategies, and completes all assigned actions, Consultant guarantees measurable improvements in at least one of the following areas within 90 days:
Pricing clarity
System efficiency
CEO leadership capacity
If such improvements are not demonstrated, Consultant agrees to provide up to 45 additional days of consulting support at no additional cost.
This guarantee does not represent a promise of specific financial outcomes.
5. Client Responsibilities
Client agrees to:
Actively participate in all consulting sessions.
Complete assignments and implement strategies as directed.
Communicate openly and honestly with Consultant regarding business challenges and progress.
Maintain responsibility for all final business decisions.
6. Disclaimers & Limitations
Consultant is not a licensed financial advisor, attorney, or healthcare provider. All services are educational and strategic in nature. Consultant does not guarantee specific financial or business results.
Consultant’s maximum liability is limited to the total fees paid under this Agreement.
7. Consultant’s Agents
Consultant is permitted to engage the services of third-party service providers to execute its obligations under this Agreement. This permission in no way alters Consultant’s responsibility to comply with any and all provisions contained in this Agreement.
8. Independent Contractor Status and Relationship of Parties
This Agreement is not an employment agreement. At all times, Consultant will act and perform services as an independent contractor. Nothing in this Agreement should be deemed or interpreted to render Consultant as an employee, partner, agent, or joint venture of Client.
Consultant shall have no authority to enter into any binding agreement on behalf of Client or hold himself/herself out as having the authority to enter into agreements on behalf of Client. As an independent contractor, Consultant is not entitled to any employee benefits from Client.
9. Confidentiality and Mutual Non-Disclosure
Consultant will not disclose the details of any information communicated to Consultant by Client in the scope of the Parties Client-Consultant relationship without the express written agreement of Client for purposes of a third-party consult.
Client agrees not to disclose any proprietary information, confidential information, or trade secrets relating to Consultant’s services including methods and procedures.
However, Client understands, acknowledges, and agrees that the consulting relationship does not form a relationship of special legal or confidential privilege like that of an attorney-client or doctor-patient relationship.
10. Governing Law
This Agreement is governed by the laws of the State of Georgia, United States.
